These Terms govern how enterprises use ManySignal's agentic SOC and MDR platform. They are written to be legible: no clauses hidden in the middle of a paragraph, no fine-print carve-outs, and every commitment is enforceable against us by name.
Acceptance of these terms
These Terms of Service ("Terms") govern access to and use of the ManySignal platform, APIs, agents, dashboards, and any related services (collectively, the "Service"). By signing an order form, clicking accept, or using the Service, the entity identified as the Customer agrees to be bound by these Terms on behalf of itself, its Affiliates, and its authorized users.
If you do not have authority to bind the Customer, do not proceed. These Terms take precedence over any conflicting terms in a purchase order or other Customer-issued document, except where superseded by a signed order form referencing this document by version.
The Service
ManySignal provides an agentic security operations platform that ingests telemetry, computes behavioural baselines, evaluates detection rules, renders triage verdicts, and executes governed response actions. The Service is delivered as a multi-tenant SaaS in the region(s) selected on the order form, with per-tenant isolation enforced at the storage, cache, and queueing layers.
ManySignal may release features, deprecate features, or change functionality provided that no such change materially reduces the security functionality Customer paid for during a subscription term. Beta features are identified as such and are excluded from availability commitments.
Accounts, authorized users, and access
Customer is responsible for provisioning users, enforcing least privilege within its tenant, and revoking access when users no longer require it. ManySignal enforces SSO/SAML/SCIM and MFA options; enabling them is Customer's decision, but ManySignal reserves the right to require MFA for high-risk actions.
Each named user account is for a single individual. Sharing credentials is prohibited. Service accounts and API keys are subject to the same access controls and audit logging as human users.
Acceptable use
Customer agrees not to (a) use the Service to attack any system it does not own or is not authorized to test, (b) upload Customer Data that infringes third-party rights, (c) circumvent published rate limits or access controls, (d) reverse engineer the Service except as permitted by law, or (e) use output of the Service to train competing detection or triage models. The Acceptable Use Policy is incorporated by reference.
Customer Data and confidentiality
Customer retains all right, title, and interest in Customer Data, subject to a limited license to ManySignal for the sole purpose of providing and improving the Service. "Improving" excludes model training on Customer telemetry unless Customer has explicitly opted in.
Each party will protect the other's Confidential Information with the degree of care it applies to its own confidential information of similar sensitivity, and in no event less than reasonable care.
Security and privacy
ManySignal maintains an information security program aligned with SOC 2 Type II and ISO 27001 controls. Details are described in the Data Processing Addendum and the Security page.
Notice of security incidents affecting Customer Data is provided without undue delay and, in any event, within the time required by the DPA and applicable law.
Fees, taxes, and renewal
Fees are set on the applicable order form and are due net-30 unless otherwise agreed. Subscriptions renew for successive terms equal to the initial term unless either party gives notice of non-renewal at least 30 days before the end of the then-current term.
All fees exclude taxes. Customer is responsible for all applicable taxes other than taxes on ManySignal's net income.
Warranties and disclaimers
ManySignal warrants that the Service will materially conform to its published documentation during the subscription term. THE FOREGOING IS THE SOLE WARRANTY. EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitation of liability
EXCEPT FOR LIABILITY ARISING FROM (i) A PARTY'S INDEMNIFICATION OBLIGATIONS, (ii) BREACH OF CONFIDENTIALITY, (iii) MANYSIGNAL'S BREACH OF THE DPA, OR (iv) CUSTOMER'S PAYMENT OBLIGATIONS: (a) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND (b) EACH PARTY'S TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO MANYSIGNAL IN THE 12 MONTHS PRECEDING THE CLAIM.
Indemnification
ManySignal will defend Customer against third-party claims that the Service, when used as permitted, infringes a valid intellectual-property right, and will pay any resulting damages awarded by a court or agreed in settlement. Customer will defend ManySignal against third-party claims arising from Customer Data or Customer's use of the Service in breach of these Terms.
Term and termination
These Terms remain in effect for the duration of any active subscription. Either party may terminate for the other's uncured material breach on 30 days' written notice. On termination, ManySignal will make Customer Data available for export for 30 days, after which it will be deleted per the DPA.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts sitting in Wilmington, Delaware, and each party consents to the exclusive jurisdiction of those courts.
